CONTROL OF WORK:

The Executive Director shall have sole control of the manner and means of performing its services

under this Agreement, with MIATC only being interested in the end performance. The results of any

services performed must be to the satisfaction of the MIATC Board of Directors.

SCOPE OF WORK:

1. Communications - This scope of services requires taking initial and ongoing direction from the

President of the Board. Additional direction will occur via MIATC committees such as the

Nominating Committee, Boat Show Committee, Legislative Committee, Membership

Committee, Waterway Clean Up Committee and the Boat Parade Committee, among others.

Communications with outside entities are required to be coordinated with the President of the

Board who may delegate follow up communications with other Board members.

2. Coordination and Outreach - The tracking of all relevant marine industry activities with local

county, city, state governments as well as the Marine Industries Association of Florida (MIAF)

and other associations and organizations related to marine industries is an important

requirement of this scope of services. In support of these coordination and outreach efforts,

acting as a representative of the MIATC in a professional manner is required. Additional

coordination and outreach efforts include researching all relevant events (net new and

historical) for Board review and the identification of any follow-on actions. If approved for

follow up action, it is expected that the MIATC Executive Director will attend or participate as

appropriate and serve as the representative of the MIATC.

3. Marketing - As directed by the President of the Board, this scope of services provides for

developing and distributing marketing through MIATC Social Media, Newsletter emails

(Boatlines), and the MIATC website.

4. Board and Committee Meetings - This scope of services requires the preparation of meeting

agendas, summaries and supporting documentation, as specifically directed by the President of

the Board, for the monthly MIATC Board of Directors meetings, and ad hoc MIATC committee

meetings. Meeting agendas and handouts are to be provided at least three business days in

advance of the meetings. Meeting minutes are to be provided within five days of the meeting

and shall include action items.

5. Records, Files, and Media Management - All records of the organization shall be maintained,

exhibiting complete transparency with the board. Acceptable file organization and management

includes a folder structure setup in Google Drive with each board member having access. The

folder structure and access will be coordinated with the President of the Board. The intent of

this requirement is to ensure the Board maintains continued access and ownership of work

performed as specified in the Independent Contractor Agreement. Further, accounts and

passwords to social media, website and related accounts will be located in the Google Drive

account for board access, as appropriate.

6. MIATC Membership Management - It is the plan and direction of the MIATC for the Executive

Director to be a key agent in growing the membership and effectiveness of our association to

meet our stated goals. Membership management involves the handling of all membership

functions including:

 The tracking and processing of all dues and renewals.

 Maintain and updating the membership database.

 Establishing policies and procedures for member renewal processes.

 Ensuring the member packet is up to date.

 All outreach for attracting new members; and

 Reviewing member submittals to confirm data accuracy and completion.

7. Financial Management - Financial management requires working directly with the MIATCs CPA

and Treasurer to complete the following financial requirements:

 Annual preparation and review of the Operations Budget.

 Monthly and yearly review of financial statements.

 Coordination and submittal of the annual filings and reports; and

 Day to day financial transactions
